Brazil: Cencosud to acquire St. Marche

Cencosud, one of the largest retailers in the Americas, has entered into an agreement to acquire 100% of the operations of St. Marche, a premium specialty grocery chain based in Brazil. The transaction, executed through Cencosud’s wholly-owned subsidiary Cencosud Brazil Comercial Ltda., involves the acquisition of the supermarket business from Hortus Comercio de Alimentos S.A. and its subsidiaries.

The deal will be carried out on a debt-free, cash-free basis. Funding for the transaction will come from capital generated by the recent divestment of Cencosud’s operations in Minas Gerais. The acquisition remains subject to closing conditions, including approval by the Brazilian competition authority and approval regarding the Hortus Group judicial reorganization plan.

St. Marche, which was founded in 2002, operates 32 stores across Sao Paulo and nearby towns and cities, including its Emporio Santa Maria store. The retail chain is supported by its own 7,500 sq m distribution centre. For the 12 months ended March 2026, St. Marche generated over R$1,078 million ($216 million) in sales.
